HMO tax: limited company and Section 24

HMO landlords often ask whether to hold property personally or in a limited company, and how Section 24 interest-relief rules affect personal landlords. Those are regulated tax questions. This page is a map of topics and official GOV.UK starting points only. AgentHMO will not tell you which structure to use or compute your bill. AgentHMO does not give tax advice and this page is general information only.

What “Section 24” usually refers to

Landlords use “Section 24” as shorthand for the restriction of finance-cost relief for many individual landlords of residential property, replacing full deduction with a basic-rate tax reduction style mechanism under UK tax rules. The detailed legislation and GOV.UK guidance decide who is caught and how. Read the live GOV.UK pages with an accountant — this blog will not restate rates, taper history, or worked tax computations as if they were your return.

Anything claiming “Section 24 always costs X%” without your own numbers is not confirmed.

Illustrative questions to take to an adviser (not answers)

  • Are my HMO finance costs within the restricted-relief rules?
  • Would a company acquisition change lender products and SDLT?
  • How would I extract profits, and what does that cost?
  • What happens to CGT / gains if I sell later (CGT on sale)?
  • Does any special holiday-let treatment still apply? (The FHL tax regime was abolished from April 2025 per GOV.UK — confirm current classification with your accountant.)

Worked illustration — labelled illustrative only

Suppose a personal landlord has mortgage interest and rental profit on an HMO. Under restricted-relief rules, the way interest enters the tax computation can differ from a full deduction. No pounds are shown here on purpose. Your accountant should run your own interest, rent, allowances and rate band. AgentHMO will not publish fake case-study numbers.

Alternatives people compare (still not advice)

  • Stay personal and cash-flow the tax position
  • Buy new stock in a company
  • Corporate restructuring of existing stock (stamp taxes, lender consent, anti-avoidance — specialist advice)

Insurance and lender disclosure still matter whichever wrapper you use (property insurance · landlord insurance).

Where to get regulated / professional advice

  • ICAEW / CIOT-type tax advisers or accountants experienced in property
  • Solicitors for incorporation and Title
  • brokers authorised by the FCA for mortgage products

AgentHMO is not authorised by the FCA and does not provide tax advice.

Licensing and tax are separate stacks

Company ownership does not remove HMO licensing (HMO licensing guide). Safety and amenity duties remain (regulations overview).

SDLT and refinancing side-effects

Moving property into a company can trigger stamp taxes and lender redemption/new-charge costs. Those friction costs sometimes dominate a theoretical income-tax saving. Run a full cash model with an adviser — including sale CGT overview (Capital gains tax when selling an HMO) — before you instruct anyone to transfer Title.

Mixed-use and unusual HMO facts

HMOs with commercial elements, unusual occupation patterns, or non-UK landlords create specialised tax issues outside this overview. Flag them early. Non-resident landlord schemes and corporate non-resident rules are out of scope here.

Record-keeping that saves accountancy fees

Keep rent ledgers by room, interest statements, licence fees, certificate costs, and improvement invoices. Clean books make personal versus company comparisons possible; messy WhatsApp totals do not.

What AgentHMO will never publish as fact

  • “Always incorporate above N properties”
  • A national average Section 24 “cost” in pounds
  • A promise that company mortgages are cheaper

Ask a human adviser with your numbers.

Interaction with sale timing

People sometimes rush a sale or a transfer to “escape Section 24” without modelling CGT, SDLT and lender fees. Sale-side CGT overview: Capital gains tax when selling an HMO. Marketplace sale route: Sell my HMO. None of those pages is a tax plan.

Portfolio lenders and SPVs

Special-purpose vehicles and group structures appear in larger HMO portfolios. They add filing, accounting and banking complexity. Whether that complexity is worth it is an adviser question tied to scale — not to a single blog case study.

Furnished holiday let confusion

HMO room lets to longer-term occupiers were usually never treated as furnished holiday lettings (FHLs) under the old tests. Separately, GOV.UK confirms the furnished holiday lettings tax regime was abolished from April 2025 (Income Tax and Capital Gains Tax from 6 April 2025; Corporation Tax from 1 April 2025) — see GOV.UK — Abolition of the furnished holiday lettings tax regime. Do not rely on pre-abolition FHL folklore for an HMO. Your accountant should classify the activity against current HMRC rules.

Frequently asked questions

Should I put my HMO in a limited company

AgentHMO will not answer that. Speak to an accountant and, if needed, a broker and solicitor.

Does Section 24 apply to companies the same way
