Selling an HMO with tenants in situ

Most investor buyers expect an HMO to keep producing rent. Selling with tenants in situ is normal — but viewings, deposit evidence and honest disclosure decide whether the deal completes. This guide is general information for UK landlords, and not a notice template. AgentHMO does not give legal advice and this page is general information only.

What “tenants in situ” means for HMOs

Room-by-room lets mean several people may hold separate agreements. A buyer underwriting as a going concern wants to know who is in which room, what they pay, when agreements end or roll, and whether deposits are protected. Vacant possession is a different product and a different buyer pool (buyer profiles).

Quiet enjoyment and viewings

Tenants keep quiet enjoyment while the sale runs. Agree viewing windows in writing where you can; avoid unannounced walk-throughs. Student houses near exam periods need extra care (student-house sale). Record which rooms were shown — buyers notice blanks.

Pricing occupied versus vacant

Occupied going-concern pricing leans on sustainable rent and licence risk (income-based sale). Vacant stock may attract deconverters or refurbishers but loses the income story. Do not invent a “vacant premium” percentage — price from evidence and local demand (AgentHMO valuations).

Documents buyers expect when rooms are let

  • Room schedule with sizes and rents
  • Current agreements / terms
  • Deposit protection evidence for each relevant tenancy (tenancy deposits)
  • Rent ledger and arrears note
  • Licence and conditions (GOV.UK HMO licence · HMO licensing guide)
  • Gas, EICR and fire precautions evidence

Notice, possession and sale myths

Selling is not automatic grounds to end every letting. Possession routes in England changed under Phase 1 of the Renters’ Rights Act from 1 May 2026 — read the official picture before you plan vacant possession for a sale (RRA implications; GOV.UK tenant overview). Later measures (for example PRS Database regional rollout announced from 15 December 2026) that GOV.UK has not yet marked as live remain not confirmed as commenced. Do not use this article as a notice or possession plan — instruct a solicitor.

Timeline impact of occupation

Occupied sales can complete while rent continues, which some sellers prefer. They can also stall on deposit queries, access for surveys, or licence transfer timing for the buyer. Timeline overview: sale stages. Cash buyers still need a clean pack (cash-buyer route).

Costs while the house stays let

You usually keep collecting rent and meeting landlord duties until completion. Agent fees, legal fees and certificate renewals still sit in the net (selling-cost breakdown). Do not stop safety compliance because the house is “under offer”.

Unlicensed occupation

If the house should be licensed and is not, disclose the gap and expect a thinner buyer pool (non-compliant sale). Marketing “fully licensed” when it is not is a problem.

Buyer types who prefer occupied stock

Investor landlords and operators often want rent continuity. Cash buyers sometimes prefer vacant houses for works. Matching the marketing story to the occupation state avoids wasted viewings (Who buys HMOs). Going-concern framing sits beside income valuation language (Sell an HMO as a going concern · Bricks-and-mortar vs investment HMO valuation).

Portfolio buyers may underwrite several occupied houses together (portfolio exit). Consistency of tenancy paperwork across the book matters as much as any single rent figure.

Inventories, meters and day-two operations

Buyers ask who holds keys, how meters are named, and whether inventories exist per room. Weak day-two ops evidence makes even strong rents look fragile. Include managing-agent contacts and service contracts in the pack where relevant.

Bills-inclusive rooms need a clear list of what the rent covers so the buyer can remodel net income (HMO rent per room).

Survey access while people live there

Surveyors and valuers need access to each lettable room and common parts. Coordinate with tenants early. Refused access delays mortgage offers and cash underwriting alike. Cost/scope of valuations: HMO valuation cost.

Deposit protection and sale completion

Each relevant deposit should show scheme membership and prescribed information history. Buyers’ solicitors treat gaps as risk. Walk through HMO deposit protection before you list. Do not “net off” deposits informally without solicitor guidance.

Practical pre-listing week for occupied HMOs

Treat the seven days before you go live as an operations sprint. Walk every room with a clipboard: note who is in occupation, rent, deposit scheme reference, meter readings if you hold them, and any outstanding repairs that a viewer will see. Photograph common parts in daylight. Tell tenants — calmly and in writing where appropriate — that the house will be marketed and that viewing windows will be agreed.

Give your managing agent a single pack folder (digital is fine) so they are not inventing answers on the phone. Align the rent ledger with bank receipts for the last three months if you can; buyers’ underwriters love reconcilable numbers and distrust tidy spreadsheets that do not match reality.

If a tenancy is about to end naturally, decide with your solicitor whether to re-let into the sale or hold a short void. Neither choice is “always right”; both change the buyer story. Student turnovers topic around academic dates — plan marketing around that calendar rather than against it (Selling a student HMO).

Finally, diary certificate expiries. A gas record that dies between offer and completion is an avoidable drama (HMO sale documents checklist).

Frequently asked questions

Do tenants have to leave before I sell

Not necessarily. Many HMOs sell occupied. Vacant possession is a choice with legal and commercial consequences — solicitor advice required.

Can the buyer speak to tenants directly

Usually through you or the managing agent on agreed terms. Uncontrolled approaches create complaints.

What if someone is in arrears

Disclose accurately in the pack. Buyers underwrite arrears; hiding them risks the sale.

Does the deposit transfer automatically

Deposit protection rules continue to apply. Your solicitor handles the mechanics — see HMO deposit protection.

Will viewings void quiet enjoyment

Poorly managed viewings can. Plan windows and notice. Check the related sections on this page and confirm the live position with the council or a suitable professional before you act. Schema: WebPage, BreadcrumbList, FAQPage.
