HMO sale legal pack and documents checklist
A complete HMO legal pack shortens buyer enquiries. Gather licensing, safety, tenancy and title papers before you list. Use this as a starter checklist — your solicitor may add more for your facts and nation. This page is general information only and not legal, tax, mortgage or financial advice; AgentHMO is not FCA-authorised.
Why the pack matters more for HMOs
Buyers and their solicitors dig into multi-lets harder than into a standard flat. Missing licence conditions or deposit evidence creates enquiry loops that cost weeks. Build the pack while you decide price, not after the first offer. Timeline context: how long a sale takes.
Order of gathering
- Licence and planning notes
- Safety certificates (renew early if expiry is close)
- Tenancy and deposit file
- Rent ledger and room schedule
- Title and EPC via your conveyancer
Title and property
- Official copies / title information (via conveyancer)
- Floor plans and room measurements
- EPC and any recommendations you acted on
- Boundaries and shared access notes if relevant
Licensing and planning
- Current HMO licence or application evidence and conditions
- Council correspondence on licensing or enforcement
- Planning / use notes, including Article 4 awareness where relevant
- GOV.UK — HMO licence · HMO licensing guide
- Transfer expectations: transfer on completion
- Use-class reading: C3 to C4 change of use
Safety
- Gas safety record
- EICR
- Fire precautions evidence as applicable (alarms, doors, risk assessment where required)
- Any FRA or competent-person reports you hold
Tenancy and income
- Agreements / terms for each letting
- Deposit protection evidence (deposit protection)
- Rent schedule (achieved) and arrears note (room rental income)
- Bills-inclusive breakdown if relevant
Process extras
- Service contracts (alarms, boilers, waste)
- Guarantees for recent works
- Management agreement if an agent runs the house
- Building insurance suited to HMO use (facts for the buyer — not a product recommendation)
Share with your solicitor early
Send the pack draft to your conveyancer before marketing. They will flag gaps while you still have time to renew certificates or chase council letters — cheaper than discovering holes under offer.
Special cases
- Unlicensed / non-compliant: honest gap list — unlicensed stock sale
- Student stock: tenancy pattern and academic calendar — student HMO sale
- Auction: pack must be catalogue-ready early — selling at auction
- Mortgaged seller: redemption statement timing — sale with a mortgage (no mortgage advice)

Digital pack hygiene
Name files so solicitors can find them: `01-licence.pdf`, `02-gas-safety.pdf`, `03-eicr.pdf`, `04-tenancy-room1.pdf`, not `scan0123.jpg`. Keep a one-page index at the top. Version the rent schedule with a date in the filename. When a certificate renews mid-sale, replace the file and email both solicitors the same day.
What “good enough to market” looks like
You do not need every conceivable document on day one, but you do need: licence position (or honest gap), in-date gas and electrical evidence, EPC, and a tenancy/deposit overview if occupied. Title official copies can follow via the conveyancer. Marketing without the safety core invites offers that collapse.
Buyer due-diligence questions to pre-answer
Write short factual answers to: How many people live here? What does the licence allow? When do certificates expire? Are any deposits unprotected? Is there enforcement correspondence? Stick those answers behind the pack index so your agent is not improvising.
Timeline: when to assemble the pack
Start the pack when you decide to sell — not when the first offer arrives. Certificate renewals and council letters take time. Parallel-track valuation (HMO valuations) and pack building so marketing does not wait on a missing gas record. Timeline context: How long it takes to sell an HMO.
Costs tied to pack gaps
Missing documents create solicitor hours and renegotiation risk (HMO selling costs and agent fees). Paying for a renewed EICR before listing is usually cheaper than a price chip after survey.
Nation and scheme differences in the pack
England licensing schemes differ from Wales, Scotland and Northern Ireland frameworks. Label which nation and which scheme the documents relate to. Do not assume an English mandatory licence pack template fits a Welsh or Scottish sale without checking local requirements with your solicitor and the licensing authority.
Occupied versus vacant pack variants
Occupied: emphasise tenancy agreements, deposit evidence, rent ledger, inventory status. Vacant: emphasise when rooms were vacated, meter final readings, and whether any licence conditions assumed occupation patterns that now change. Mixed books need both stories labelled per house (Selling an HMO with tenants in situ).
Auction and cash variants
Auction: pack must be catalogue-ready early (Selling an HMO at auction). Cash: still provide the core safety and licence file even if marketing promises speed (Sell an HMO to cash buyers).
After exchange — still keep the pack live
Certificates can expire between exchange and completion. Diary renewals and send updates to both solicitors the day they arrive. A stale pack after exchange still creates completion risk.
Frequently asked questions
What if a certificate is missing
Order the missing certificate before you list if you can. Buyers and solicitors treat gaps in the pack as delay or renegotiation risk.
Is this list exhaustive
No — buyer type and nation change the ask. Check the related sections on this page and confirm the live position with the council or a suitable professional before you act.
Do I need original wet-ink licences
